Terms & Conditions

Last updated: 8 September 2026

These terms apply to any services provided by Luzza Studio Ltd, trading as NovaBloom Digital ("NovaBloom", "we", "us"), to any client ("you", "the client"). By engaging our services, you agree to these terms.

1. Services

NovaBloom provides digital marketing services, which may include lead generation, paid advertising, social media management, branding and content, website design, and related work as agreed with each client individually, typically confirmed by email or message before work begins.

2. Fees & payment

Retainer services are billed monthly in advance. Project-based work (such as branding or website builds) is typically split into two instalments: 50% upfront and 50% on completion, unless otherwise agreed in writing. Late payments may result in work being paused until the account is settled.

3. Advertising spend

Where campaigns involve paid advertising (e.g. Meta or Google Ads), any ad spend is separate from NovaBloom's fees and is agreed with the client in advance. NovaBloom does not guarantee specific results from advertising spend, though we aim to optimise performance on an ongoing basis.

4. Contract length & cancellation

Retainer agreements typically run for a minimum term of 3 months, after which they continue on a rolling monthly basis. Either party may cancel a rolling agreement with 30 days' written notice. Cancellation during the minimum term may be subject to the remaining balance of that term.

5. Client responsibilities

To deliver services effectively, we may ask you to provide timely access, feedback, approvals, brand assets or account access. Delays on your part may affect project timelines and are not the responsibility of NovaBloom.

6. Intellectual property

Upon full payment, final deliverables (such as designs, website builds and written content) created specifically for the client become the client's property. NovaBloom retains the right to display completed work in its own portfolio and marketing materials, unless otherwise agreed in writing.

7. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of the engagement, and not to disclose it to third parties without consent.

8. Limitation of liability

NovaBloom will carry out services with reasonable skill and care, but does not guarantee specific business outcomes (such as revenue, leads or rankings), as these depend on factors outside our control. NovaBloom's liability for any claim is limited to the fees paid for the service in question over the preceding three months.

9. Governing law

These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
